HP Biotech is a contract manufacturer (OEM/ODM) of feminine intimate care and cosmetic products, including intimate wash gels, feminine care products, serums and related formulations. Our website presents our manufacturing capability, quality systems and product categories to help potential business partners evaluate working with us.

Content on this website is provided for business evaluation purposes only. It is not medical advice, and no product claims made on the website are intended to diagnose, treat or prevent any disease. Finished products must be marketed and labelled by the customer in accordance with the regulations of the customer's target markets.

When you submit an inquiry through our website, by email, or by phone/WhatsApp, we will review your requirements and may provide a quotation, product documentation and samples. Information you provide must be accurate, complete and current. We reserve the right to decline an inquiry for any lawful reason, including compliance concerns.

A quotation is an invitation to negotiate and is not a binding offer until we both sign a formal contract, a purchase order is confirmed in writing by us, or we otherwise agree in writing. Quotations are valid for the period stated in the quotation (typically 30 days) and are subject to re-confirmation of raw material costs, exchange rates and specification details.

• We may provide product or formula samples to evaluate quality, texture and compatibility. Samples are provided "as is" for evaluation only and are not for resale.
• Sample fees and shipping costs, if any, will be communicated before dispatch. Sample fees may be credited against a first production order where we have agreed this in writing.
• Sample results do not guarantee identical performance in mass production; production batches are controlled by our quality management system and standard specifications.

• Minimum order quantity (MOQ), lead times, specifications and packaging are confirmed per order in writing.
• Production specifications must be approved by you before mass production begins. Changes requested after approval may affect lead time and cost.
• Where we develop a custom formulation or design exclusively for you, formulation and packaging details are documented in the agreement.
• All production is subject to our quality control procedures and, where applicable, to the ISO 9001 / ISO 13485 / ISO 22716 / GMP systems referenced on our website.

• Prices are quoted in the currency stated in the quotation and exclude taxes, duties, freight and insurance unless stated otherwise.
• Payment terms (e.g. deposit before production and balance before shipment, or letter of credit) are agreed in writing on a per-order basis.
• Payments are normally made by bank transfer (T/T) or letter of credit. We do not accept payment by credit card through this website.
• We never ask you to send credit card details by email, WhatsApp or through website forms. If you receive any such request, please report it to us immediately.

• Your trademarks, brand names, artwork and product designs remain your property. Our formulations, manufacturing processes, know-how, documentation and our own brand materials remain our property (or our licensors' property).
• Neither party will use the other's intellectual property except as needed to perform the agreement, and only with prior written consent.
• During our business discussions, each party may receive confidential commercial or technical information. Both parties agree to keep such information confidential and use it only for evaluating and performing the business relationship. This obligation survives the end of the relationship.
• All text, images, logos and content on this website are protected by copyright and other intellectual property laws and may not be reproduced without our written permission.

• Our products are manufactured in compliance with the quality systems stated in our quotations and certificates (ISO 9001, ISO 13485, ISO 22716, GMP).
• As the brand owner and importer of record, you are responsible for ensuring that finished products, labelling, claims, registrations and marketing comply with the laws and regulations of the countries where you sell them (for example, UAE, Saudi Arabia or GCC cosmetic notification requirements).
• We can support you with formulation documentation and certificates of analysis, but final market approval is your responsibility.

Delivery terms (Incoterms), freight costs and shipping dates are agreed in writing per order. Unless otherwise agreed, risk of loss or damage to goods passes to you upon delivery to the carrier at the agreed shipping point. We are not liable for delays caused by force majeure, customs, carriers, or events beyond our reasonable control.

• We warrant that products are manufactured in accordance with the agreed specifications and our quality management system. This warranty is limited to replacing or refunding the value of non-conforming goods (as determined by joint inspection) and does not cover misuse, improper storage, or modifications made by third parties.
• To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, including lost profits, lost sales or business interruption.
• Our total liability arising out of or in connection with any order shall not exceed the contract value of the goods giving rise to the claim.
• The website and its content are provided "as is" without warranties of any kind, whether express or implied.

When using our website you agree not to:

• Submit false, misleading or unlawful information through forms or contact channels;
• Attempt to gain unauthorised access to our systems, or scan, probe or overload the website;
• Use automated tools (scrapers, bots) to harvest content or data from the website without permission;
• Upload malicious code or interfere with the website's operation.

We may restrict or block access to the website for conduct that we reasonably consider a breach of these Terms.

These Terms and any business relationship between you and HP Biotech are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. We will first seek to resolve any dispute amicably through good-faith negotiations. Failing that, disputes shall be submitted to the competent court of the place where our company is registered, unless the parties agree in writing on arbitration.

Nothing in these Terms limits any right that cannot be excluded under the mandatory law of your country of residence.
